AI drafts. Advocates decide.

Describe the deal. Vidhata drafts it, and a named advocate signs off.

How it works

Four steps from a description of the deal to a document you can sign, with a named advocate accountable in the middle.

  1. 1

    Describe the deal

The parties, the value, where it will be signed and the terms that matter. That is the whole brief.

  2. 2

The first pass drafts and screens it

Clauses come from a curated corpus. A seven-layer screen then checks the draft against Indian statute and raises every concern as a finding, with its source.

  3. 3

    An advocate decides

An empanelled advocate claims the document, settles each finding and signs off under their Bar enrolment. Nothing reaches you before that sign-off.

  4. 4

    You execute it

The settled document arrives with an execution checklist: stamp duty and registration, each confirmed by your advocate, and whether it can be signed electronically.

A finding is a note in the margin of a clause.

Not a tile in a dashboard. Every concern the first pass raises stays attached to the words that caused it, carries the source it rests on, and is settled by a named advocate before anything reaches you.

Screening

Built for Indian contracts

Four checks a generic drafting tool has no way to run, each against the statute it names. Stamp duty and registration are confirmed by your advocate.

  • S.27

    Restraint of trade

Non-compete and non-solicit clauses are screened against the Indian Contract Act's restraint-of-trade rule.

    Example

The Service Provider shall not, for a period of three (3) years following termination, engage in any business activity within India that competes with the Client.

  • S.74

    Penalty clauses

Liquidated damages are checked against how Indian courts actually enforce them.

    Example

The Supplier shall pay liquidated damages of 2% of the order value for each week of delay.

  • MSMED

    Payment terms

Payment clauses are checked against the statutory ceiling when your counterparty is a registered MSME.

    Example

Payment shall be made within sixty (60) days of receipt of a valid invoice.

  • IT Act

    e-signature validity

Every document is checked against the rules on what can and cannot be signed electronically.

    Example

    e-signature: can be signed electronically

  • Stamp

    Stamp duty

Stamp duty depends on the state of execution and the instrument. Your advocate confirms the amount before you sign.

    Example

Stamp duty: confirmed by your advocate

  • Reg. Act

    Registration

Your advocate confirms whether registration applies.

    Example

    Registration: confirmed by your advocate

A named advocate stands behind the result.

Not a disclaimer, and not a panel of reviewers in the abstract. One empanelled advocate adjudicates every finding on your document and signs it. Their name and Bar enrolment number stay on the record.

No document reaches you without that sign-off. A finding whose source could not be verified blocks it outright.
